Terms and Conditions

Services

1.1 Unless otherwise specified herein, each oldoppos.us.com feature is for a six month initial term and is renewable thereafter for successive six month to one year terms, as set forth during the renewal process.

1.2 Any renewal of your oldoppos.us.com feature with us is subject to our then-current terms and conditions, including, but not limited to, payment of all applicable fees at the time of renewal.

1.3.1 Except with respect to Services to which you subscribe on a monthly basis, we will attempt to provide you a renewal reminder prior to the renewal of your feature at least fifteen (15) days in advance of the renewal date.

Payment

2.1 Below are current advertising opportunities available with OldOppos Features. The Services, products, and prices are subject to change. Contact Graham Hearsey. All prices are cost per page unless otherwise stated. We offer online statistical reporting if required. OldOppos Limited reserves the right to change with notice any of the afore going services and prices.

2.1.1 $245 set up fee and six months hosting on oldoppos.us.com
2.1.2 $80 hosting fee for each six months there after.

Copyright

3.1 All creative designed by OldOppos Limited in partnership with IA New Media is covered by OldOppos Limited copyright.

3.2 The copyright for all purposes in all artwork, copy and other material that the Publisher or his employees have contributed to or reworked shall remain with the Publisher.

3.3 OldOppos Limited reserves the right to change with notice any of our services and prices.

Obligations of the Service Provider.

4.1 The Service Provider undertakes to provide the services as set out in Schedule 1 to this agreement (the “Services”), in consideration of the payment as set out in Schedule 2 to this agreement.

4.2 Should the Company request and the Service Provider agrees to provide services additional to those specified in Schedule 1, the fees for those additional services shall be mutually agreed between the parties, but otherwise for all purposes of this Agreement the additional services shall be deemed to be included within the definition of Services.

4.3 The Services shall be carried out by the Service Provider with all reasonable skill and care, and in full compliance of relevant established current professional standards.

4.4 The Service Provider shall indemnify the Company from all claims, actions or demands made by third parties against the Company, and all liabilities of the Company to third parties (collectively “Third Party Liabilities”) and from all damage, losses, costs, expenses and payments whatsoever suffered or incurred by the Company either directly or in relation to Third Party Liabilities in respect of (a) personal injury to or the death of any person and any loss or destruction of or damage to property (not attributable to any default or neglect of the Company or of any person for whom the Company is responsible) which shall have occurred in connection with the provision of the Services under this Agreement, (b) any defect in the Services, and (c) any breach by the Service Provider of any terms of this Agreement, including without limitation, clause 4.3 provided that the liability of the Service Provider to the Company under this Agreement.

4.5 All communications and all information supplied to or obtained by the Service Provider in the course of or as a result of the discharge of his obligations under this Agreement and all information relating to any invention, improvement, report, recommendation or advice given to the Company by the Service Provider in pursuance of his obligations shall be treated by the Service Provider as confidential and shall not be disclosed by him to any third party or published without prior written consent of the Company, such consent not to be unreasonably withheld.

Miscellaneous

5.1 For the avoidance of doubt both parties confirm that the Service Provider enters into this Agreement as an independent contractor and that he is not nor shall for any purpose be regarded as an employee of the Company.

5.2 Except as otherwise provided in this Agreement, all notices, instructions or other communications shall be in writing and may be made by facsimile message, by letter or other form of communication as agreed between the parties from time to time, and delivered to the requisite party at its address:

5.3 We reserve the right to make changes to any part of the website. Due to our policy of updating and improving the website, it may therefore be necessary to change these terms.

5.4 In the event that we change the terms, we will notify you of any changes. If you use the Website after we have published or notified you of the changes, you will be agreeing to be bound by those changes. If you do not agree to be bound by them, your feature page shall be removed.

5.6 The placing of a feature by an advertiser, or advertising agency on behalf of a client, constitutes an assurance that all necessary authority and permission has been secured in respect of the use in the feature(s) of pictorial representations (or purporting to be of) living persons, and of references to the words attributed to living persons.
